Terms and Conditions of Able Ventures

1. Scope of Services

Able Ventures provides HR consulting, leadership development, behavioral assessment, and organizational development services as agreed upon in written proposals, contracts, or engagement letters.

• Services will be delivered according to the scope, timelines, and objectives mutually agreed in writing.

• All consulting services are performed by qualified professionals associated with Able Ventures.

2. Confidentiality

All information shared during consulting engagements is treated as confidential.

• Both parties agree to maintain strict confidentiality of business information, data, reports, and discussions.

• Confidential information shall not be disclosed to third parties without prior written consent, except where legally required.

3. Intellectual Property Rights

All intellectual property created or shared during the engagement remains protected.

• Proprietary frameworks, tools, reports, methodologies, and training materials developed by Able Ventures remain the intellectual property of the Company unless otherwise stated in writing.

• Clients may not reproduce, distribute, or reuse such materials without written permission.

4. Payment Terms

Clients agree to pay fees as outlined in the proposal or agreement.

• Payment schedules, modes, and due dates will be specified in writing.

• Delays in payment may result in suspension of services until dues are cleared.

5. Termination of Engagement

Either party may terminate the consulting engagement with written notice.

• In case of termination, the Client agrees to pay for services rendered up to the effective termination date.

• Any ongoing confidentiality and intellectual property obligations will remain in effect after termination.

6. Disclaimer

Able Ventures provides consulting services based on professional expertise and available information.

• We do not guarantee specific business outcomes, financial results, or organizational changes.
• Consulting advice is advisory in nature and should be implemented at the Client’s discretion.

7. Limitation of Liability

To the maximum extent permitted by law:

• Able Ventures shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.
• Our total liability, if any, shall be limited to the fees paid for the specific service giving rise to the claim.

8.Governing Law

These HR consulting company terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.

9. Amendments

Able Ventures reserves the right to update or modify these Terms from time to time.

10. Entire Agreement

These Terms constitute the entire agreement between Able Ventures and the Client concerning consulting services and supersede all prior discussions or agreements, whether written or verbal.
